These Terms of Use (“Terms”) govern your access to and use of the Vekser website, portals, dashboards, applications, forms, content, communications, and related services made available by Vekser LLC (“Vekser”) and its affiliates, including without limitation any co-branded, white-labeled, partner, or integrated service offerings (collectively, the “Platform” or “Services”).

By accessing, browsing, registering for, submitting information through, or otherwise using the Platform or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Platform or Services.

1. Eligibility; Authority

You may use the Platform only if you are at least eighteen (18) years old and legally capable of entering into a binding contract.

If you use the Platform on behalf of a company, trust, fund, property owner, association, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Scope of the Platform

Vekser operates a real-estate-related website and service ecosystem that may include, without limitation:

• Marketing and informational content regarding real estate, property management, leasing, maintenance, renovation, construction coordination, and investment-related opportunities
• Intake forms for landlords, owners, investors, tenants, buyers, sellers, agents, brokers, vendors, contractors, and partners
• Portals, dashboards, scheduling tools, communication tools, payment interfaces, and marketplace functionality
• Introductions, referrals, lead routing, and job or bid opportunities among users and third parties
• Operational support, back-office services, and technology-enabled workflows
• Buyer-side tools for search, analysis, offer support, and transaction coordination
• Seller-side tools for listing, marketing, showing coordination, and transaction facilitation
• Access to third parties such as title companies, escrow agents, lenders, inspectors, and appraisers
• AI-assisted tools, calculators, pricing insights, and document workflows

The Platform facilitates information exchange and service coordination. Availability may vary based on jurisdiction, licensing, regulations, and third-party factors.

3. Relationship to Other Agreements

These Terms apply to general use of the Platform.

Certain Services may also be subject to additional agreements, including but not limited to:

• Property management agreements
• Listing agreements
• Buyer representation agreements
• Service orders or proposals
• Vendor or contractor agreements
• Referral or partner agreements
• Lease applications and screening consents
• Payment processor or software terms
• Title, escrow, lender, or closing documents

If there is a conflict, the separately executed agreement will control for that specific subject matter.

4. Vekser’s Role

Vekser is a technology-enabled real estate services and marketplace platform.

Vekser does not represent itself as a licensed broker, contractor, attorney, lender, or other professional in every jurisdiction.

Where required, services are fulfilled through licensed third parties.

Unless explicitly agreed in writing, Vekser does not act as your broker, agent, escrow holder, lender, or legal representative.

5. Marketplace; Third-Party Services

The Platform may connect users with third-party providers such as:

• Real estate agents and brokers
• Property managers
• Contractors and vendors
• Inspectors, lenders, photographers, and service professionals

Vekser:

• Does not control or guarantee third-party performance
• May receive referral compensation where permitted
• Is not a party to third-party agreements unless stated otherwise

6. Buying and Selling Transactions

Vekser may provide tools and coordination support.

However, unless separately agreed:

• Vekser does not negotiate deals
• Vekser does not draft legal contracts
• Vekser does not guarantee closing

Licensed services are provided only by authorized professionals under separate agreements.

7. No Relationship Created

Use of the Platform does not create:

• Employment
• Partnership
• Joint venture
• Agency
• Fiduciary relationship

All third parties operate independently unless explicitly stated otherwise.

8. No Professional Advice

All content is for informational purposes only.

Vekser does not provide:

• Legal advice
• Tax or accounting advice
• Investment advice
• Insurance or engineering guidance

You should consult qualified professionals before making decisions.

9. Property Information Disclaimer

Information may come from third parties and is not guaranteed.

Vekser does not guarantee:

• Rental income or investment returns
• Property condition or compliance
• Accuracy of listings or data
• Completion timelines or costs

Users must independently verify all information.

10. User Responsibilities

a. Owners, Landlords, Sellers

You must:

• Provide accurate property information
• Comply with all laws and regulations
• Have authority to list or sell
• Ensure disclosures are correct

b. Buyers, Tenants, Applicants

You must:

• Provide accurate information
• Verify property details independently
• Review all documents before signing

c. Service Providers and Partners

You must:

• Maintain required licenses and insurance
• Provide accurate service information
• Operate independently and legally

11. Accounts and Security

You are responsible for:

• Keeping login credentials secure
• All activity under your account

Vekser may suspend or terminate accounts at any time.

12. Electronic Communications

You consent to receive communications via:

• Email
• Phone
• SMS
• Platform notifications

Electronic signatures are legally binding where permitted.

13. Fees and Payments

Some services may be free, others paid.

Pricing shown is informational unless stated otherwise.

Third-party processors may handle payments, and Vekser is not responsible for their errors.

14. Prohibited Conduct

You may not:

• Violate laws or rights
• Submit false or misleading information
• Misrepresent identity or authority
• Scrape or misuse data
• Disrupt platform operations
• Engage in unlawful or discriminatory practices

15. User Content

By submitting content, you grant Vekser a worldwide license to use it for:

• Platform operations
• Improvements
• Marketing

Vekser may remove content at its discretion.

16. Feedback

Any feedback provided may be used freely by Vekser without compensation.

17. Intellectual Property

All Platform content is owned or licensed by Vekser.

You are granted a limited, non-transferable license for use.

18. Monitoring and Enforcement

Vekser may monitor activity to:

• Enforce Terms
• Prevent fraud

19. Third-Party Integrations

Vekser does not guarantee:

• Platform availability
• Accuracy of information
• Performance of users or services

23. Limitation of Liability

Vekser is not liable for indirect or consequential damages.

Total liability is limited to:

• Amount paid in the last 12 months, or
• $100 USD

24. Indemnification

You agree to indemnify Vekser against claims arising from:

• Your use of the Platform
• Your violations
• Your transactions or content

25. Termination

Vekser may suspend or terminate access at any time.

26. Dispute Resolution

Disputes are resolved by binding arbitration in Miami-Dade County, Florida.

You waive:

• Jury trials
• Class actions

Governed by the laws of the State of Florida.

Vekser may update these Terms at any time.

Continued use means acceptance.

29. Assignment

You may not assign these Terms.
