Property Management & Services Terms

Effective Date: March 6th, 2026

This Property Management & Services Agreement (“Agreement”) is entered into between Vekser LLC (“Company”) and the Customer identified in the applicable Statement of Work (“SOW”).

By signing, onboarding, or using the Platform, Customer agrees to these Terms.

1. Purpose & Structure

1.1 Purpose

Customer engages Company to provide:

  • Property management
  • Leasing & booking
  • Maintenance coordination
  • Operational and marketplace services

1.2 Statement of Work (SOW)

Each SOW defines:

  • Pricing
  • Service type
  • Property details
  • Term and scope

SOW is part of this Agreement.

1.3 Service Flexibility

Services may be structured as:

  • Revenue share
  • Subscription
  • Flat fee
  • Placement fee

1.4 Precedence

If conflict exists:

  • SOW controls commercial terms
  • Agreement controls everything else

2. Definitions

  • Property – real estate listed in SOW
  • Services – all management, leasing, and support services
  • Platform – Vekser systems and integrations
  • LTR – Long-term rentals
  • STR – Short-term rentals
  • Gross Revenue – total income collected
  • Net Proceeds – amount after deductions

3. Marketplace Model & Authority

3.1 Platform Model

Vekser operates as a:

  • Technology platform
  • Marketplace
  • Service coordinator

3.2 Appointment

Customer appoints Vekser as:

  • Manager
  • Coordinator
  • Marketing and leasing operator

3.3 Licensed Services

Where required:

  • Work may be performed by licensed partners

3.4 Customer Authority

Customer confirms:

  • Ownership or legal authority
  • Right to rent, manage, and authorize actions

4. Exclusivity & Distribution

4.1 Exclusivity

If stated in SOW:

  • Vekser has exclusive rights to manage and market

4.2 Distribution Rights

Vekser may:

  • List on platforms
  • Control pricing and listings
  • Manage marketing

4.3 No Circumvention

Customer may NOT:

  • Bypass Vekser
  • Take leads off-platform

5. Term & Termination

  • Agreement runs per SOW
  • Default: month-to-month

Termination

  • 30-day notice (unless otherwise stated)
  • Immediate termination for breach or risk

Post-Termination

  • Active bookings must be honored
  • Financial obligations remain

6. Services Scope

Included Services (if selected)

  • Property management
  • Leasing & bookings
  • Maintenance coordination
  • Reporting

Not Included (unless stated)

  • Legal services
  • Tax advice
  • Major construction
  • Litigation or evictions

No Guarantees

Vekser does NOT guarantee:

  • Occupancy
  • Revenue
  • Tenant quality
  • Performance

7. Fees & Compensation

7.1 Pricing

Customer pays:

  • Management fees
  • Setup fees
  • Subscription or % fees
  • Optional service fees

7.2 Collection Models

Company-Collected

  • Vekser collects rent
  • Deducts fees before payout

Owner-Collected

  • Owner collects rent
  • Pays subscription or service fees

7.3 Setup Fee

  • One-time onboarding fee
  • Earned once work begins

7.4 Reserve

  • Operational reserve may be required
  • Used for expenses
  • Must be replenished

7.5 Tenant Placement

Separate service unless included.

7.6 Software & Costs

Customer pays for:

  • Platforms
  • Tools
  • Processing fees

8. Pricing & Listing Control

Vekser may:

  • Adjust pricing dynamically
  • Modify listings
  • Set policies
  • Manage bookings

9. Customer Responsibilities

Customer must:

  • Provide accurate information
  • Maintain property condition
  • Ensure compliance
  • Respond within 48 hours

Deemed Approval

If no response:

  • Vekser may proceed for operations

10. Legal Compliance

Customer is responsible for:

  • Laws and regulations
  • Permits and licensing
  • HOA rules

STR & LTR Compliance

Customer must ensure:

  • Legal rental status
  • Proper documentation

11. Leasing & Tenants

  • Screening is not guaranteed
  • Vekser may coordinate leases
  • Evictions remain Customer responsibility

12. Funds & Payments

12.1 Collection

Vekser may:

  • Collect funds
  • Deduct fees
  • Distribute proceeds

12.2 Deposits

May be held by:

  • Vekser
  • Partners
  • Payment processors

12.3 Negative Balances

Customer must cover any shortfalls.

12.4 Statements

  • Must be reviewed within 30 days

13. Third-Party Services

Vekser may:

  • Use vendors and partners
  • Earn commissions

Customer not entitled to those earnings unless stated.

14. Insurance & Risk

Customer must:

  • Maintain insurance
  • Accept property risks

Vekser does NOT insure property.

15. Indemnification

Customer indemnifies Vekser for:

  • Property issues
  • Legal violations
  • Tenant/vendor claims

16. Liability Limits

Maximum liability = fees paid in last 3 months

No liability for:

  • Lost profits
  • Damages
  • Performance outcomes

17. Dispute Resolution

  • Attempt informal resolution first
  • Mediation optional
  • Jurisdiction: Florida

18. Platform & Data

  • Platform use required
  • Data may be analyzed and used
  • Electronic communication is valid

19. Miscellaneous

  • Independent contractor relationship
  • No partnership created
  • Assignment restricted
  • Force majeure applies

Final Acknowledgment

By using the Services, Customer confirms:

  • Agreement acceptance
  • Full understanding of terms
